Terms of Service

1. Beta Version Notice

IMPORTANT: Guild Manager is currently in BETA. By using this service, you acknowledge and accept that:

• The platform may contain bugs, errors, or incomplete features
• Service interruptions, data loss, or unexpected behavior may occur
• Features may be added, modified, or removed without prior notice
• We provide NO WARRANTIES regarding platform stability or data persistence
• You use the platform AT YOUR OWN RISK

Despite being in beta, paid features are available. Beta status does not exempt us from providing reasonable service for paid features, but expectations should be adjusted accordingly.

2. Acceptance of Terms

By accessing or using Guild Manager ("Service", "Platform", "We", "Us", "Our"), you ("User", "You", "Your") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you must not use our Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to guild leaders, members, and administrators.

3. Age Requirements and Legal Capacity

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using the Service under applicable laws
• If using on behalf of an organization, you have authority to bind that organization

4. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use or security breach

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including for violation of these Terms.

5. Use License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes.

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Circumvent any security or authentication measures
• Scrape, data mine, or use bots without explicit permission
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Sell, rent, or sublicense your access to the Service
• Use the Service to compete with us or build a similar service
• Reverse engineer or attempt to extract source code
• Remove or obscure any proprietary notices

6. User Content and Community Guidelines

You retain ownership of content you create ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display it in connection with the Service.

You represent and warrant that:

• You own or have rights to use your User Content
• Your content doesn't infringe on others' rights
• Your content complies with all applicable laws

Prohibited content includes:

• Illegal, harmful, or offensive material
• Hate speech, discrimination, or harassment
• Sexually explicit or violent content
• Spam, scams, or deceptive practices
• Personal information of others without consent
• Content that violates third-party rights

We reserve the right to remove any content and take action against violators, including account termination.

7. Virtual Assets and In-Platform Economy

The Service may include virtual items, metrics, or assets ("Virtual Assets"). These Virtual Assets:

• Have no real-world monetary value
• Cannot be exchanged for real currency
• Cannot be transferred outside the platform
• May be modified or removed at any time
• Are licensed, not owned by you

Any attempt to sell, trade, or monetize Virtual Assets outside the platform is strictly prohibited and will result in immediate termination.

8. Billing and Payments

Paid features are processed through our payment provider, Polar.sh. By purchasing a subscription:

• You authorize us to charge your payment method
• You agree to Polar.sh's terms and privacy policy
• Subscriptions auto-renew unless cancelled
• You're responsible for all charges incurred
• Prices may change with 30 days notice

Refund Policy:

• Due to the digital nature of our service, all sales are final
• No refunds for partial months or unused features
• Exceptions may be made at our sole discretion for technical issues
• Beta status does not entitle automatic refunds

To cancel, you must do so through your account settings before the renewal date.

9. Third-Party Services and Links

Our Service integrates with third-party services (including Discord). We are not responsible for:

• Third-party service availability or functionality
• Content or practices of third-party services
• Any damages from your use of third-party services

Your use of third-party services is governed by their respective terms and policies.

10. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to:

• Collection and use of data as described in our Privacy Policy
• Processing of data in accordance with these Terms
• Storage of data in our chosen jurisdictions
• Sharing data with service providers as necessary

We implement reasonable security measures but cannot guarantee absolute security. You acknowledge the inherent risks of internet data transmission.

11. Intellectual Property Rights

The Service and its original content (excluding User Content) are and will remain our exclusive property. Our Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used without our prior written permission. Any unauthorized use terminates the license granted by these Terms.

12. Beta Features and Experimental Functionality

We may offer features marked as "beta", "preview", or "experimental". These features:

• Are provided "AS IS" without any warranties
• May not function as expected
• May be discontinued at any time
• Should not be relied upon for critical operations
• May result in data loss or corruption

13. Disclaimers and Limitation of Liability

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION

WE SPECIFICALLY DISCLAIM LIABILITY FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• SERVICE INTERRUPTIONS OR DATA LOSS
• UNAUTHORIZED ACCESS TO YOUR ACCOUNT
• BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS
• ANY DAMAGES EXCEEDING $100 USD OR AMOUNTS PAID BY YOU IN THE PAST 12 MONTHS

Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Guild Manager, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any misrepresentation by you

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Conduct harmful to other users or the Service
• At our sole discretion

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data
• We have no obligation to maintain or provide your data
• All provisions that should survive termination will remain in effect

16. Data Retention and Deletion

We retain data according to our Privacy Policy. Upon account termination:

• We may retain certain data as required by law
• Backup copies may persist for a reasonable period
• We have no obligation to maintain your data indefinitely
• Deletion requests must be submitted in writing

17. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Chile, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms shall first be subject to good faith negotiations between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to mediation or arbitration in accordance with the rules of the Centro de Arbitraje y Mediación de Santiago (CAM Santiago). The arbitration shall be conducted in Villarrica, Chile, in Spanish, and judgment may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive relief or other equitable remedies in the competent courts of Villarrica, Chile for violations of intellectual property rights or confidentiality obligations.

WAIVER OF COLLECTIVE ACTIONS: To the maximum extent permitted by Chilean law, you agree to resolve disputes individually and waive any right to participate in collective or class actions under Law 19.496 on Consumer Protection or any other applicable law.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting unless otherwise stated. Material changes will be notified via email or platform notification.

Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

19. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Guild Manager
• Severability: If any provision is invalid, the remaining provisions continue in full effect
• No Waiver: Our failure to enforce any right is not a waiver of that right
• Assignment: You may not assign these Terms; we may assign them without restriction
• Force Majeure: We're not liable for delays due to circumstances beyond our control
• Headings: Section headings are for convenience only

Given our beta status, you additionally acknowledge:

• Features shown in marketing may not yet be available
• Performance benchmarks are targets, not guarantees
• We may reset or modify game data for balancing
• Beta feedback may be used without compensation
• Priority support is not guaranteed, even for paid users
• We may limit user numbers or access at any time
